IPO CLUB.

IPO CLUB is a private-market investment manager. We invest in late-stage U.S. private companies, across defense, energy, AI infrastructure, robotics, critical minerals, and space, with the goal of growing the capital of our members.

What we do

We give accredited investors and qualified purchasers access to private companies before they reach the public market, through two structures: single-company SPVs, which hold one company at a time, and managed thematic funds, which hold a diversified portfolio. We focus on later-stage, secondary entry, which lets us invest in companies that already have traction rather than early-stage bets.

How we are structured

IPO CLUB is the brand under which Higive Ltd manages our investment vehicles. Higive Ltd is the Manager and is an Exempt Reporting Adviser that files reports with the U.S. Securities and Exchange Commission.

We operate two distinct vehicles, which are legally and operationally separate:

Fund I

IPO.CLUB LLC

Our 2020-vintage fund. Holds our established track record across active positions and realized exits.

America 2030

A series of IPO CLUB II LLC

Our current fund. A short-duration, secondary-focused fund with a 2030 target maturity.

Who we serve

Our members are accredited investors and qualified purchasers, including family offices, RIAs, founders, and senior operators who want professional-grade access to late-stage U.S. private markets without building an in-house investment team.

Track record

How to engage

Membership is the entry point. Members see live SPVs and fund openings, with terms, timing, and allocation detail. Any investment is made only through the applicable offering documents, after accreditation verification under SEC Rule 506(c).
