What IPO CLUB Invests In and Why
We get asked this a lot. What exactly does IPO CLUB invest in, and how do we decide?
Edoardo Zarghetta, Managing Partner, IPO CLUB
The short answer: late-stage U.S. private companies that are approaching the public markets, in sectors where the U.S. government and private capital are both accelerating spending at the same time. That intersection, government tailwind plus private market momentum, is where we focus.
The sectors
America 2030 invests in six sectors at the foundation of U.S. resilience and sovereignty: Defense, Energy, AI Infrastructure, Robotics, Critical Minerals, and Space. Four megatrends drive demand across all of them simultaneously: NATO allied budgets moving toward 3.5% of GDP and a sustained shift to autonomous systems; the Western Industrial Renaissance reshoring critical supply chains through the CHIPS Act and export controls; the AI Infrastructure Buildout — the largest capital formation cycle of this generation — reshaping every adjacent sector from semiconductors to nuclear energy; and Physical AI crossing the price threshold for real industrial deployment, moving from labs into factories, warehouses, and vehicles.
Why late-stage
We make few early-stage bets and more late-stage investments. We look for companies that already have revenue, customer contracts, or proven technology, and that are close enough to an IPO or liquidity event that we are not waiting a decade to find out if the thesis holds. The trade-off is that entry prices are higher than seed or Series A. The advantage is that the uncertainty is substantially lower.
This is a different risk profile from venture capital. We are not trying to find the next unicorn from a blank page. We are trying to provide accredited investors with access to companies that the public markets have not yet priced, but will.
How we structure it
IPO CLUB offers two vehicles. Single-company SPVs give investors direct exposure to one company at a time, with full visibility into what they own. America 2030 is our managed thematic fund, holding a diversified portfolio across all six sectors. Both structures are available to accredited investors and qualified purchasers.
We currently have 29 active positions and have seen 8 realized exits, including companies that reached IPO.
What we are not
We are not a venture fund. We are not a hedge fund. We are not a platform that aggregates any available secondary deal and passes it through to members. Every position goes through our internal investment team. The sectors are fixed by conviction, not by what happens to be available.
Why this moment
Allied defense budgets are at multi-decade highs. The AI infrastructure buildout is the largest capital formation cycle of this generation. Domestic energy production — advanced nuclear, grid-scale storage, critical minerals — has become a national security imperative. Physical AI is crossing the threshold from pilot programs into real industrial deployment. All four of these shifts are happening at the same time, and the companies at the center of them are still private.
Public market investors will get access eventually. Accredited investors who join IPO CLUB can access them now, before the IPO.
